NOTE: price is $7,500 for joint representation; add $950 for state law compliance review for practice sales outside California, Texas and Tennessee.

Price is ALL INCLUSIVE; legal consultation, drafting and/or review (as applicable) of practice transition documentation, including the Asset or Stock Purchase Agreement, Note, Security or Stock Pledge Agreement, UCC Financing Statement, Non-Competition Agreement, Pre- and/or Post-Sale Association or Employment Agreements, Lease review and Assignment, Accounts Receivable Agreement, Bill of Sale, EDD Release, and all other expenses included in price.

NOTE: partial sales that result in a continuing professional relationship between the parties also create a need for (a) an expense sharing agreement, (b) incorporation, and/or (c) shareholder buyout arrangements between the parties.*

Letter Offer/ Memo - $1,250

For providing, reviewing and/or discussing a non-binding letter agreement, whether required by (i) a practice broker before you are allowed to inspect the seller's financial and other practice documents, (ii) a lender before qualifying you for the loan, or (iii) the parties themselves prior to drafting full sale documentation. This payment will be applied to your flat rate Professional Practice Sale price if you choose to go forward with the purchase. Expense Sharing Agreement* - $2,000

For the sharing of expenses and/or assets between two or more practitioners sharing a single professional office, while keeping income, and specified expenses and/or assets separate. Expenses are specifically allocated and may be shared equally, prorata to production, or to allocated to each individual practitioner.
